Paid Services Terms

These Paid Services Terms ("Paid Terms") supplement the SpeakPal.ai Terms of Service and apply to any purchase you make through SpeakPal's supported purchase flows. If these Paid Terms conflict with local mandatory consumer laws, those laws control.

1) Purchase Types & Availability

1.1 Subscriptions

In supported countries/regions, you may purchase auto-renewing subscriptions for premium features.

1.2 One-Time Purchases

In countries/regions where our payment providers do not support subscriptions, we offer one-time paid plans (e.g., fixed-term or lifetime, as shown at checkout). One-time plans do not auto-renew; to continue after expiry (if applicable), you must repurchase.

1.3 Regional Differences

Plans, pricing, taxes, payment options, and features may vary by country/region or payment provider. The checkout page is the source of truth.

2) Payments & Processors

2.1 Authorization

By submitting a payment, you confirm you're authorized to use the payment method, your information is accurate, you'll pay any due amounts on time, and you authorize us and our payment processors to process the transaction and applicable taxes.

2.2 Processors & Bank Fees

We use third-party payment processors. Your bank or card issuer may apply additional fees (e.g., FX or cross-border fees); you're responsible for those.

3) Managing Subscriptions (Path Clarification)

3.1 Cancel or Change a Subscription

Use My → Subscription Management to cancel or modify a subscription, or contact SpeakPal Support for assistance.

3.2 Third-Party Channels

If you purchased via an app store or other third-party platform, cancel/modify within that platform per its rules.

4) Billing Cycle, Auto-Renewal & Price Changes (Subscriptions)

4.1 Auto-Renewal

Subscriptions renew automatically on the schedule shown at purchase until you cancel.

4.2 Notices

Renewal notices will be sent where required by law.

4.3 Price Changes

We may change subscription prices. We'll notify you in advance via the Services and/or the contact details on your account. If you don't agree, cancel before the effective date; continuing to use the subscription after the change means you accept the new price.

5) Cancellations, Expiration & Downgrades

5.1 Cancellations

You can cancel anytime. You'll retain access through the current billing period; afterward, your access may convert to free or limited features.

5.2 One-Time Purchases

If your one-time plan includes a validity period, access ends when the period ends. Repurchase is required to continue (if offered).

5.3 Failed Payments

If a renewal charge fails, we may retry charging, request updated details through Support, suspend access, or downgrade to a free tier.

6) Promotions & Trials

Promotions, trial periods, voucher codes, and discounts are governed by the terms presented with each offer. Unless you cancel before a trial or promotional period ends, your subscription will renew at the then-current non-promotional price (if applicable).

7) Refunds

7.1 Global D2C Baseline

7.2 EU/EEA/UK Right of Withdrawal

If you reside in the EU/EEA/UK, you have a 14-day right of withdrawal for digital services unless you explicitly consent to immediate performance and acknowledge losing the right to withdraw (which we are not currently collecting).

If you exercise withdrawal within 14 days after service has started, we may deduct a proportionate amount for the service already provided, as permitted by law.

Local mandatory consumer rights prevail over these Paid Terms.

7.3 Institutional/Partner Purchases

If access was provided and billed by a school, university, studio, agency, or other partner (an "Institution"), refunds/cancellations/support are handled by that Institution under its policies. SpeakPal generally does not process refunds for Institutional sales unless required by law or expressly authorized in writing by the Institution.

8) Account Transfers & Secondary Sales

8.1 Transfers Allowed (Official Path Only)

SpeakPal permits account transfers or seat reassignments where the applicable plan and policies allow. Valid transfers must be completed via SpeakPal's official transfer flow, the Institution's admin console (for Institutional seats), or through SpeakPal Support. The transferee must agree to these Paid Terms and the Terms of Service. Until a transfer is confirmed by SpeakPal or properly reassigned by an Institution admin, the original holder remains responsible for account use.

8.2 Secondary/Private Transactions Disclaimer

Any unofficial resale, rental, or private transfer outside the official process (including key resellers or "top-ups") is not covered by SpeakPal protections. Disputes or losses from such transactions are solely between the private parties. We may freeze or investigate suspicious accounts and request KYC to prevent fraud.

9) Institutional & Partner Purchases

9.1 Roles & Responsibilities

If your access is provided through an Institution:

SpeakPal can provide platform-level technical support; however, order-level issues (billing, refunds, seat assignment) are handled by the Institution under its policies.

9.3 Data Roles

Typically, the Institution acts as data controller and SpeakPal as data processor for Institutional deployments. SpeakPal processes personal data per the Institution's documented instructions, our Privacy Policy, and (where applicable) a Data Processing Addendum.

10) Experimental/Beta Features

We may test experimental features, which can change or be removed at any time. Do not rely on beta features when deciding to purchase paid plans.

11) Changes to Paid Services

We may make necessary or minor changes without notice (e.g., to ensure continued operation, security, fraud prevention, or legal compliance). If we make a material change that negatively impacts your paid use or remove a paid feature (other than beta features), we will provide reasonable advance notice and, where applicable, offer a pro-rated refund for any prepaid, unused portion.

12) Chargebacks & Anti-Fraud

If you initiate a chargeback, we may pause access, revoke benefits, or require repayment of amounts reversed by your bank. We employ anti-fraud measures (e.g., rate limits, risk controls, KYC, freezes, investigations) to protect users and the platform.

13) Taxes, Invoices & Currency

Prices generally exclude taxes unless stated. We collect taxes where required. For enterprise/Institutional agreements, invoicing terms and currency are as specified in the order or contract.

14) Statutory Warranties & Updates (EU)

If you reside in the EU, we will provide security/technical updates as required by law. You should promptly install updates and, if needed, update your device OS to maintain conformity. This commercial statement does not limit your mandatory consumer rights.
